MCC Network Carbon Cleaning Provider Programme Terms

These terms govern participation by an independent carbon-cleaning business (the “Network Provider”) in the Meister Carbon Cleaners (Pty) Ltd (“MCC”) Network Carbon Cleaning Provider Programme.
1. Purpose of the programme
The programme allows MCC to refer customers requiring hydrogen carbon-cleaning services to approved independent providers in areas or circumstances where MCC elects not to perform the service itself. MCC manages the network referral and customer-facing commercial arrangement. The Network Provider performs the carbon-cleaning service using its own approved equipment and resources.
2. Independent business relationship
The Network Provider remains an independent business. Participation does not create employment, agency, partnership in law, joint venture, franchise, dealership, branch ownership, territorial exclusivity or authority to bind MCC. The Network Provider may not represent itself as an MCC franchise, branch or exclusive representative unless a separate written agreement expressly grants those rights.
3. Provider equipment and capability
The Network Provider must supply accurate information about its carbon-cleaning equipment, operating locations, service areas and capabilities. MCC may require photographs, equipment details or other reasonable evidence before approving or continuing participation. The provider must inform MCC if its equipment, operating location or material service capability changes.
4. MCC-generated customers
A customer or carbon-cleaning opportunity introduced to the Network Provider through MCC remains recorded as an MCC Network customer for the referred carbon-cleaning relationship. The provider may communicate with the customer as reasonably necessary to arrange and perform the authorised service, but may not use MCC customer information for unrelated marketing without a lawful basis.
5. Provider's own customers
MCC's network/referral fee applies only to carbon-cleaning work introduced through the MCC Network unless the parties separately agree otherwise in writing. Customers independently acquired by the Network Provider are not automatically subject to the MCC network fee merely because the provider participates in the programme.
6. MCC customer pricing and provider payout
For an MCC Network referral, MCC determines or approves the customer-facing carbon-cleaning price. Before the Network Provider accepts a job, the Operator Portal will display the customer price, the applicable MCC network fee and the provider payout. Those commercial values are recorded against that referral and are not retrospectively changed merely because the provider later reaches another performance level.
7. Monthly Network Provider levels
The applicable network fee for the next MCC-generated referral follows qualifying completed and paid MCC Network carbon-cleaning jobs in the same calendar month:

A qualifying job is an MCC Network carbon-cleaning referral that has been completed and for which MCC has received the required customer payment. Cancelled, declined, duplicated, test or unpaid jobs do not qualify.
8. Network Provider referrals to MCC
The programme also allows an approved Network Provider to refer customers or business opportunities into MCC through the Operator Portal. The provider must have a reasonable lawful basis to share the customer's details and must confirm that the customer has agreed to be contacted by MCC about the referred enquiry.
For qualifying work handled through MCC, the standard originating-provider referral reward is 10% of the qualifying service value after the service is completed and MCC has received the required customer payment. If MCC routes a carbon-cleaning opportunity to another independent MCC Network Carbon Cleaning Provider, the standard originating-provider reward is 5% of the qualifying service value unless MCC confirms a different rate for that referral before completion.
For this purpose, the “qualifying service value” is the service value recorded by MCC against that referral for reward calculation. It may exclude refunded or cancelled amounts and clearly identified pass-through or non-commissionable charges. The applicable percentage and qualifying value shown or confirmed by MCC for the referral determine the reward.
The referral reward is not payable merely because a lead was submitted. Cancelled, duplicated, fraudulent, test, declined, unpaid or uncompleted opportunities do not qualify. MCC may determine whether an opportunity is suitable, how it is fulfilled and whether it is routed to MCC directly, another Network Provider, a Workshop Partner, a franchise or another suitable service channel. The originating provider remains recorded against the referral for attribution and reward purposes where applicable.
Provider-to-MCC referrals do not convert the referring Network Provider into an MCC agent, franchise or representative and do not give the provider authority to quote, bind or make commitments on MCC's behalf.
9. Referral offer and acceptance
MCC may offer a job to an approved provider based on location, capability, availability, service quality, account standing or other practical factors. The provider may accept or decline an offer while it remains available. Acceptance creates an obligation to perform that specific service in accordance with the referral details, subject to customer confirmation and payment.
10. Customer payment
Unless MCC expressly authorises another arrangement, the customer pays MCC for an MCC Network referral. The provider must not require the customer to pay the Network Provider directly for the referred carbon-cleaning service. The provider must not begin the referred service until the Operator Portal shows the job as ready/paid or MCC gives explicit written authorisation.
11. Provider invoice and payout
After successful completion and submission of required service evidence, the Network Provider may submit its invoice or payout details in accordance with the portal workflow. The provider invoice for the referred carbon-cleaning service must match the agreed provider payout unless MCC has approved a different amount in writing. MCC may withhold payout while a material service dispute, refund, fraud concern or missing completion evidence is being investigated.
12. Service standard and evidence
The Network Provider is responsible for the service it performs, its workmanship, staff, equipment, safety procedures and compliance with applicable law. The provider must record reasonable pre-service condition information, mileage, known warning lights or faults, service duration and completion notes when required by the portal. MCC may require photographs or other completion evidence.
Carbon cleaning must be represented as a preventative-maintenance/service process, not as a guaranteed repair of underlying mechanical, electrical, emissions or drivability faults. The provider must not make misleading performance, emissions, fuel-economy or repair claims on MCC's behalf.
13. Customer complaints, refunds and corrective action
The provider must promptly inform MCC of a complaint, service incident, damage allegation or material dispute involving an MCC Network customer. MCC may coordinate the customer-facing resolution. Responsibility for defective workmanship or loss caused by the provider remains with the provider to the extent applicable. Where a refund or corrective cost arises from provider workmanship, MCC may reasonably set off an agreed or established amount against amounts otherwise payable to the provider, subject to applicable law and the facts of the matter.
14. Twelve-month network protection
Unless a referral records a different period, an MCC-introduced customer is protected within the MCC Network for hydrogen carbon-cleaning services for 12 months from successful completion of the referred carbon-cleaning service. During that period, future hydrogen carbon-cleaning work arising from that MCC-introduced relationship must be processed through MCC unless MCC agrees otherwise in writing. This restriction does not prevent the provider from performing ordinary servicing, repairs or unrelated work requested by the customer.
15. No guaranteed referrals or territory
Participation does not guarantee a minimum number or value of leads, jobs, revenue or payouts. The programme is non-exclusive unless a separate written agreement states otherwise. MCC may appoint or use multiple providers in the same town, city or region.
16. Customer information and confidentiality
The Network Provider may use customer information received through the programme only for legitimate purposes connected with the referred enquiry, booking, service, payment administration, authorised follow-up or another lawful purpose. Customer information may not be sold, distributed or used for unrelated marketing without an appropriate lawful basis. The provider must maintain reasonable safeguards against unauthorised access, loss or misuse and must notify MCC promptly of a suspected data incident involving MCC Network information.
17. Branding
The Network Provider may use MCC-provided programme material only as authorised. MCC's name, logo, content and other intellectual property remain the property of MCC or their respective rights holders. Programme membership does not permit the provider to describe itself as an MCC franchise or branch.
18. Records, tax and invoices
Each party remains responsible for its own tax, accounting and statutory obligations. The Network Provider is responsible for issuing any required tax invoice to MCC for its provider payout. MCC may require valid business, banking or tax information before releasing payouts.
19. Suspension and termination
MCC may suspend new referrals or portal access for material quality concerns, misuse of customer data, fraudulent activity, repeated customer complaints, unauthorised branding, circumvention of MCC Network customers, unsafe service practices, non-compliance with these terms or other material risk to customers or the MCC network. Either party may end participation, but existing payment, customer-protection, confidentiality and service obligations relating to prior referrals survive where applicable.
20. Changes and re-acceptance
MCC may update programme operations, pricing structures or terms as the network develops. Where a material contractual change requires fresh acceptance, the provider may be required to accept the new version before receiving or managing further MCC Network referrals.
21. Electronic acceptance and governing law
Electronic acceptance through the MCC application or Operator Portal records the accepted version, date/time and available audit information. These terms are governed by the laws of the Republic of South Africa. The parties should first attempt to resolve a dispute through reasonable direct engagement before pursuing other remedies available in law.
