MCC Workshop Partner Programme Terms Version: MCC-WP-2026-10-V2 Effective: October 2026 1. Programme purpose The MCC Workshop Partner Programme allows approved independent workshops, dealerships and automotive businesses ("Workshop Partners") to use the MCC Operator Portal to refer and book hydrogen carbon-cleaning services performed by Meister Carbon Cleaners (Pty) Ltd ("MCC"). MCC may also refer suitable servicing, diagnostic, repair and other mechanical opportunities to participating Workshop Partners. 2. Independent businesses The Workshop Partner remains an independent business. Participation does not create employment, a legal partnership, joint venture, franchise, agency or ownership relationship. A Workshop Partner may not represent itself as an MCC franchise, branch or own-machine operator unless a separate written agreement grants that status. 3. Carbon-cleaning service responsibility Unless agreed otherwise in writing, MCC performs the carbon-cleaning service booked through this programme and remains responsible for that service. The Workshop Partner remains responsible for servicing, repairs, diagnostics, parts and other work it performs. Hydrogen carbon cleaning is preventative maintenance and is not represented as a repair or a guarantee that an underlying mechanical, electrical, emissions or drivability fault will be corrected. 4. Partner pricing and targets For qualifying MCC-performed bookings, the applicable discount on MCC's public service price is based on the booking position reached through qualifying completed and financially settled MCC jobs in the same calendar month: 1–3: Starter 10% 4–7: Pro 20% 8–14: Elite 30% 15–19: Master 35% 20+: Master 40% The improved rate applies to the next qualifying booking and does not retrospectively reprice earlier bookings. Cancelled, no-show, unpaid, duplicate, test or otherwise non-qualifying entries do not count. MCC may assign an earned base tier based on long-term performance or a separate written arrangement. Monthly targets determine pricing and are not compulsory sales quotas. 5. Selling price and MCC amount MCC may display a suggested customer price. Where the portal permits it, the Workshop Partner may set its own customer selling price, provided it is not below the amount payable to MCC. The Workshop Partner is responsible for communicating its selling price to its customer. The amount payable to MCC for an Operator Portal booking remains due in accordance with the booking/payment flow, regardless of the Workshop Partner's separate collection arrangements with its customer unless MCC agrees otherwise in writing. 6. Call-out charges Approved workshop locations may attract a call-out charge calculated from the MCC origin and MCC's current rate. MCC verifies the route used for the commercial calculation. Where qualifying bookings are performed at the same approved location on the same day, the portal may allocate the applicable daily call-out once rather than to every booking. 7. Two-way workshop referrals A Workshop Partner may opt in to receive work from MCC and identify the types of work it can perform. MCC may consider location, capability, availability, account standing, previous service performance and customer requirements when placing an opportunity. MCC does not guarantee any minimum number, value or frequency of referrals. 8. MCC-referred workshop work For servicing, diagnostic, repair or other mechanical work referred to a Workshop Partner by MCC, the Workshop Partner must manage the referral through the MCC Operator Portal and provide accurate quotation, inspection, booking and completion information. 8.1 Standard customer-pay referrals Where MCC manages the customer quotation and receives payment from the customer, the Workshop Partner submits its workshop quotation to MCC. MCC may add a programme margin, administration amount or sundry amount before presenting the final quotation to the customer. The approved Workshop Partner quotation is the normal payout basis. No additional 10% referral fee is charged to the Workshop Partner on the same completed job where MCC has earned its commercial return through the customer-facing quotation. The Workshop Partner must not begin the quoted repair work until the portal confirms the required customer approval and payment status. An invoice above the approved Workshop Partner quotation requires MCC review and approval before any increased payout becomes due. 8.2 Pre-quote inspection, diagnosis or strip-down Where an accurate repair quotation cannot reasonably be prepared without first inspecting, diagnosing or stripping relevant components of the vehicle, the Workshop Partner may submit a pre-quote inspection or strip-down request through the Operator Portal. The request must state: - why the vehicle must be inspected or stripped before an accurate quotation can be prepared; - any applicable inspection, diagnostic or strip-down charge; - the expected workshop time where reasonably known; - whether the vehicle may need to remain at the workshop; and - any material limitation affecting the vehicle's immediate reassembly or return. Chargeable inspection, diagnostic or strip-down work must not begin until the required customer approval has been recorded through the MCC referral process. Approval of a pre-quote inspection or strip-down does not constitute approval of the final repair. Once the assessment has been completed, the Workshop Partner must record the outcome and submit the resulting repair quotation, warranty/third-party claim outcome or other applicable result through the same MCC referral record. 8.3 Warranty, insurance and other third-party funded referrals An MCC-generated referral remains an MCC-generated referral where payment for the work is made wholly or partly by a warranty provider, insurer, maintenance plan, service plan or another third party. Where such a third party pays the Workshop Partner directly and MCC does not receive and distribute the repair payment, a referral fee equal to 10% of the final completed job value excluding VAT is payable to MCC. The referral fee is calculated on the final value of work actually authorised and completed. The completed job value may include approved: - parts; - labour; - diagnostic charges; - inspection charges; - strip-down charges; and - other authorised workshop charges forming part of the completed job. The referral fee is calculated on the completed job value and not on the Workshop Partner's profit margin. The Workshop Partner must accurately record the payer type, authorised value and final completed job value through the MCC Operator Portal or other MCC-approved reporting process. No referral fee is payable on work that is declined, cancelled, not authorised or not completed. The same completed job will not be subject to both an MCC customer-facing programme margin and the separate 10% direct-payment referral fee. 8.4 Referral protection and continuity An MCC-generated customer or job remains linked to its original MCC referral regardless of whether payment is ultimately made by the customer, a warranty provider, insurer, maintenance plan, service plan or another third party. The Workshop Partner must maintain the referral record through the applicable inspection, quotation, approval, repair and completion stages. The Workshop Partner may not move, reclassify, conclude or otherwise divert an MCC-generated referral outside the MCC process for the purpose of avoiding an applicable MCC referral fee or other agreed programme charge. 9. Customers and communications A customer introduced by a Workshop Partner remains free to choose service providers. MCC may communicate directly with the customer where reasonably required to administer a carbon-cleaning booking, workshop referral, quotation, inspection approval, payment/status process, service record, report or authorised follow-up. MCC will not intentionally use a Workshop Partner-introduced carbon-cleaning booking to divert unrelated workshop work away from that Workshop Partner. When MCC refers workshop work, the Workshop Partner may contact the customer for that referred job once the relevant portal workflow permits customer contact. 10. Customer information Each party must use customer information received through the programme only for legitimate purposes connected with the relevant enquiry, quotation, inspection, booking, service, payment, report or authorised follow-up. A Workshop Partner must have a lawful basis to provide customer information to MCC for a booking or referral and must not falsely represent that a customer has personally given consent where that has not occurred. Customer information may not be sold or used for unrelated marketing without an appropriate lawful basis. 11. Portal security Portal credentials and security codes must be protected from unauthorised use. The Workshop Partner is responsible for activity performed through its authorised account until unauthorised access is reported. MCC may use OTP or other verification for sensitive changes. Workshop addresses and commercial route distances remain subject to MCC verification. 12. Accuracy and manipulation The Workshop Partner must provide reasonably accurate business, customer, vehicle, booking, quotation, invoice, inspection, third-party payer and completed-job information. Fictitious, duplicate or manipulated entries intended to alter tiers, discounts, availability, payments, referral fees or performance statistics are prohibited. 13. Payments and account standing MCC may pause new carbon-cleaning bookings or referral opportunities while amounts properly due to MCC remain unpaid. Payment records, referral fees, reversals, refunds, credits and late payments remain subject to MCC's recorded transaction history. A cancelled or no-show booking does not become active merely because a late payment is received. MCC will review the payment for refund, credit or rebooking as appropriate. 14. Cancellations and no-shows Workshop Partners should notify MCC as early as reasonably possible of cancellations or no-shows. MCC may introduce a reasonable cancellation or call-out recovery charge for repeated late cancellations, no-shows or unnecessary travel, provided the applicable charge is communicated before it is applied. 15. Tax, invoices and referral-fee settlement Each party remains responsible for its own tax, VAT registration, accounting and invoices. Portal pricing does not change either party's independent tax obligations. For MCC-referred workshop work where MCC receives the customer payment, the Workshop Partner invoices MCC where the workflow requires a payout from MCC. Where a warranty provider, insurer, maintenance plan, service plan or other third party pays the Workshop Partner directly, the Workshop Partner remains responsible for its invoice to that payer. MCC may separately invoice or otherwise record the applicable 10% referral fee on the completed job value excluding VAT. 16. Branding MCC branding may only be used for legitimate programme participation and in accordance with MCC's instructions. Participation does not authorise the Workshop Partner to describe itself as an MCC franchise, branch or exclusive representative. 17. Non-exclusivity and no guaranteed income Unless separately agreed in writing, participation is non-exclusive. MCC may work with other workshops in the same area. MCC does not guarantee bookings, referrals, revenue, margin, customer volume or financial return. 18. Suspension and termination MCC may suspend or terminate portal access for fraud, misuse of customer information, material customer-service issues, unauthorised branding, manipulated records, overdue amounts, security concerns, referral-fee avoidance or conduct that materially risks customers or the MCC network. Either party may end the programme relationship, but termination does not remove amounts already due or responsibilities arising from work already performed. 19. Programme changes and renewed acceptance MCC may update pricing, operational procedures, portal features or programme terms. Material contractual changes will be versioned. MCC may require a Workshop Partner to review and accept a new version before continuing to use operational functions of the Operator Portal or receiving new MCC referrals. Previous acceptance records remain part of MCC's agreement history and are not replaced by later acceptances. A change to the Workshop Partner's contracting legal entity may also require fresh acceptance. 20. Governing law and disputes These terms are governed by the laws of the Republic of South Africa. The parties should first attempt to resolve disputes through direct good-faith engagement before using any other remedy available under South African law. 21.
